1. Description of Service

Nyurics provides AI-powered voice agent infrastructure that enables businesses to build, deploy, and manage automated voice agents for sales outreach, customer support, appointment scheduling, lead qualification, and payment/collections communication, including integrations with third-party CRMs, calendars, and telephony providers.

2. Eligibility and Account Registration

• You must be at least 18 years old and capable of forming a binding contract to use the Service.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You agree to provide accurate, current, and complete information during registration and to keep it updated.

3. Use of the Service

You agree to use the Service only for lawful purposes and in compliance with these Terms. You agree not to:

• Use the Service to make unsolicited, fraudulent, harassing, deceptive, or unlawful calls
• Violate any applicable telemarketing, robocall, data protection, or consumer protection laws (including TCPA, TRAI regulations, GDPR, DPDP Act, or equivalent laws in your jurisdiction)
• Use the Service to impersonate any person or entity, or misrepresent the AI nature of a call where disclosure is legally required
• Attempt to reverse-engineer, disrupt, or gain unauthorized access to the Service or its underlying systems
• Use the Service to transmit malware, spam, or unlawful content
• Resell or sublicense the Service without our express written consent

4. Customer Responsibility for Compliance

You are solely responsible for:

• Obtaining any necessary consents from call recipients or participants
• Complying with call recording, disclosure, and telemarketing laws applicable to your calls and jurisdictions
• Ensuring the content, scripts, and configurations of your AI voice agents comply with applicable law

Nyurics acts as a technology provider and is not responsible for the content of calls configured and initiated by you.

5. Third-Party Integrations and Subprocessors

The Service integrates with third-party providers (including but not limited to speech-to-text, LLM, text-to-speech, telephony, CRM, and calendar providers). Your use of such integrations is also subject to the applicable third party's terms. Nyurics is not responsible for the availability, performance, or acts of third-party providers.

6. Fees and Payment

• Pay-As-You-Go Plan: Billed per minute/token as per then-current published rates. Rates may vary and are subject to change with notice.
• Enterprise Plan: Custom pricing and volume commitments as agreed in a separate order form or agreement.
• All fees are exclusive of applicable taxes unless stated otherwise.
• Failure to pay fees when due may result in suspension or termination of your access to the Service.

7. Intellectual Property

• Nyurics retains all right, title, and interest in and to the Service, including all underlying software, infrastructure, and technology.
• You retain ownership of your configuration data, scripts, and prompts you input into the Service.
• You grant Nyurics a limited license to process your data solely to provide and improve the Service.

8. Service Availability

We aim to provide reliable, low-latency service but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Nyurics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising from your use of the Service. Our total aggregate liability for any claim shall not exceed the amount paid by you to Nyurics in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Nyurics, its officers, employees, and affiliates from any claims, damages, liabilities, and expenses arising from your use of the Service, your violation of these Terms, or your violation of applicable law.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or unlawful use. You may terminate your account at any time in accordance with your applicable plan terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Surat, Gujarat, India, unless otherwise agreed in a separate enterprise agreement.

13. Changes to These Terms

We may modify these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
